1. Scope of Services

REDO agrees to provide digital marketing related services including but not limited to: social media marketing, paid advertising, lead generation, media buying, page management, branding, consultation, content promotion, and related online marketing services.

2. Client Responsibility

The Client confirms that all information, products, services, advertisements, payment methods, and business activities provided are legal, authentic, and authorized. The Client shall bear full responsibility for all business operations, customer dealings, transactions, and promotional claims

3. Prohibited Activities

The Client shall not use REDO services, tools, advertising assets, or digital platforms for any illegal, fraudulent, deceptive, unauthorized, misleading, unethical, or policy-violating activity. This includes but is not limited to scams, fake investment schemes, copyright infringement, counterfeit products, cybercrime, gambling, adult content, illegal financial activities, or any activity prohibited by law or advertising platforms.

4. Liability Protection & Legal Disclaimer

During the service period or after the completion or termination of services, REDO its owners, representatives, employees, and team members shall not be held liable for any illegal, fraudulent, misleading, unauthorized, or unlawful activities conducted by the Client. Any investigation, complaint, legal action, government inquiry, account restriction, platform penalty, financial dispute, reputational damage, or third-party claim arising from the Client’s activities shall be the sole responsibility of the Client. If REDO suffers any legal, financial, administrative, or reputational damage due to the Client’s actions, the Client agrees to fully indemnify and compensate REDO

5. Agency Legal Rights

REDO reserves the right to immediately suspend or terminate services, refuse further cooperation, report suspicious activities to relevant platforms or authorities, and take legal action against the Client if necessary.

6. Platform Compliance

The Client confirms that all ad accounts, Business Managers, Pages, Domains, Pixels, payment methods, and digital assets used are legally owned or properly authorized. REDO shall not be responsible for account disablement, ad rejection, restricted reach, or penalties imposed by Meta, Google, or other third-party platforms.

7. Payment Policy

All service charges and advertising budgets must be paid as agreed. Advertising spend paid to third-party platforms is non-refundable. Late payments may result in service suspension or termination.

8. Communication & Evidence Preservation

The Client agrees that chats, emails, invoices, payment records, screenshots, call recordings (where legally permitted), campaign approvals, and digital communications may be preserved and used as supporting evidence in disputes or legal proceedings.

9. No Guarantee Clause

REDO does not guarantee specific sales, profits, leads, reach, engagement, or platform approvals, as marketing performance depends on multiple external factors.

10. Confidentiality

Both parties agree to maintain confidentiality regarding business information, strategies, account access, financial information, and related sensitive data.

11. Governing Law

This Agreement shall be governed under the applicable laws of Bangladesh. Any dispute shall be subject to the jurisdiction of the competent courts of Bangladesh.

By signing below, both parties confirm that they have read, understood, and agreed to all terms and conditions of this Agreement.

IMPORTANT LIABILITY & INDEMNITY CLAUSE

The Client acknowledges and agrees that during the term of this Agreement and after its termination, the Client shall remain solely responsible for any and all activities, advertisements, products, services, transactions, and actions conducted using REDO services. REDO shall not be held liable for any illegal, fraudulent, misleading, or unethical activities conducted by the Client. The Client agrees to indemnify, defend, and hold harmless REDO from any claims, damages, liabilities, investigations, losses, or legal actions arising from the Client’s conduct.
